"Sonic Skate-Off"

OFFICIAL RULES

1. ELIGIBILITY:

Open to legal residents of the 50 United States and District of Columbia who are 16 years of age or older and are employees in good standing as of 5/1/2012 of a licensed Sonic Restaurant. General Managers/Operating Partners and Multi-unit Leaders are not eligible to compete in the "Sonic Skate-Off" competition.

2. PROGRAM DESCRIPTION:

The Dr Pepper/RC Sports "Sonic Skate-Off" Contest has been established to select six (6) Finalists to compete in the Finals of the Dr Pepper/RC Sports "Sonic Skate-Off" Contest. Event will be held on 07/14/2012 in a location to be determined.

Entrants may enter the contest as described below through the SonicSkateOff.com submission website from 12:01 a.m. Eastern Time ("ET") on 2/1/2012 through 11:59 p.m. ET on 5/31/2012. Entries will be viewed and judged by selected Sonic Industries Services Inc. ("Sonic") representatives and by selected representatives from Dr Pepper and RC Sports as the "Sonic Skate-Off" Sponsors (the "Sponsors," including Sonic). Entries will not, however, be posted and available for viewing by the general public. The competition finalists will be announced on or after 06/9/2012.

3. TO ENTER CONTEST:

If you are a minor in your jurisdiction of residence when you seek to enter the contest, then you must obtain your parent/legal guardian's permission to participate in this contest. If you become one of the six finalists, and will be a minor in your jurisdiction of residence until 7/14/2012, then your parent/legal guardian or their designee who is at least 21 years of age must accompany you for the entirety of the Contest.

4. VIDEO REQUIREMENTS:

Videos may not exceed two minutes play time nor not exceed 50 MB in size. All major video formats are accepted. Photographs must be in color and must not exceed a file size larger than 3 MB.

Entry materials must be completely received by the submission server by 11:59 pm PT on 5/31/2012. The submission server is the official clock for this Contest. If an entry video or photograph is unable to be viewed by Sonic or the Sponsors for any reason whatsoever, then that set of Entry Materials shall be disqualified (and Released Parties, as defined below in Section 11, will not be responsible or liable for any such inability to view and the resulting disqualification).

Entrants can submit multiple entries; however, only the last entry submitted will be considered.

5. JUDGING / WINNER DETERMINATION:

Video entries will be judged by a panel of judges consisting of representatives of Sonic, Dr Pepper, and RC Sports, to determine the six (6) highest-scoring entrants as Finalists. Judging will be based upon the following categories, with equal weight given to each criterion:

In case of a tie, the entry with the highest score in the first judging category will be declared the tie winner. If the tie continues, then the scores in each subsequent judging category will be totaled and those scores will be used to declare the tie winner. Before an entrant is notified that the person is a Finalist, Sonic or the Sponsors will contact the entrant's Sonic Restaurant employer for verification of the employee's current status as being in good standing. If entrant's status is found not to be currently employed or currently in good standing, then the entrant will no longer be eligible to participate. The next highest scoring entrant will be named a Finalist in place of the ineligible entrant. Any determination of eligibility will be made by Sonic and the Sponsors, whose decisions are final.

6. PRIZES:

Each of the six (6) selected Finalists will be awarded an all-expense-paid trip from 7/12/2012 through 7/15/2012, including economy air fare, to the destination-area airport from the major commercial airport nearest the Finalist's residence at Sponsors' discretion, standard double-occupancy hotel accommodations at a hotel of Sponsors' discretion, ground transportation to and from the destination-area airport and hotel and the Contest venue, meals, and much more, to partake in the fun and exciting events of the 2012 “Sonic Skate-Off”.

Each of these six (6) selected Finalists will have the opportunity to compete for the Gold Medal as Sonic's Best Skating Carhop for 2012. All six (6) Finalists will compete in a timed competition obstacle course at an actual Sonic Restaurant.

Results of the Dr Pepper/RC Sports “Sonic Skate-Off” competition will be announced and trophies awarded during the medal ceremony. If any portion of the "Sonic Skate-Off" Finals is cancelled or postponed, then the remaining portion of the prize will be awarded as complete and final and no other or further compensation, substitute prize, or cash value will be offered.

Trip must be taken on dates specified by the Sponsors, but subject to change as determined solely by the Sponsors. All travel and accommodations are subject to availability, change, and certain restrictions. Each Finalist and any travelling sponsor must comply with all security requirements and are solely responsible for all required travel documents and any optional travel insurance.

As a condition of prize awarding, the trophy winner (or the winner's parent/legal guardian if winner is a minor in his/her jurisdiction of residence) will be required to agree to, complete, and execute the Sponsors' permission, release, license, and other documents, and failure of winner to complete and execute same (and such other documents as may be required by the Sponsors) in a timely manner as determined by the Sponsors may cause disqualification.

7. "SONIC SKATE-OFF" FINALS:

The Dr Pepper/RC Sports "Sonic Skate-Off" Finals will consist of a series of challenges to be determined by Sonic and the Sponsors.

Finalists will compete and be judged on their performance by a panel of judges selected by Sonic and the Sponsors. The particular challenge elements and their judging criteria are to be determined by Sonic and the Sponsors and panel of judges and will be made available to Finalists at or prior to the "Sonic Skate-Off" Finals event.

Finalists may use either roller skates or inline skates, and must supply their own skates. Finalists will be judged on their:

The Finalist with the highest overall ranking at the end of the Dr Pepper/RC Sports "Sonic Skate-Off" will be named the Gold Trophy winner; the Finalist with the second highest overall ranking will be named the Silver Trophy winner; and the Finalist with the third highest overall ranking will be named the Bronze Trophy winner.

In case of a tie, the contestant with the highest raw score in the first judging category will be declared the tie winner. If the tie continues the raw scores in each subsequent judging category will be totaled and those scores will be used to declare the tie winner.

8. GRAND PRIZES:

The top three Finalists with the highest overall scores achieving the Gold, Silver, and Bronze trophies will be awarded additional prizes.

The Gold trophy winner will receive $1,500 in cash. The Silver trophy winner will receive $1,000 in cash. The Bronze trophy winner will receive $500 in cash. Cash prizes will be paid out within 90 calendar days of the Finals event. All six Finalists will also receive a new pair of skates from RC Sports.

9. OTHER CONDITIONS OF ENTERING CONTEST / OWNERSHIP OF THE ENTRY MATERIALS:

Once submitted, Entry Materials may not be changed, altered, or modified. Once submitted, Entry Materials become the sole property of Sonic and the Sponsors and will not be returned. By submitting Entry Materials, entrant (and entrant's parent/legal guardian if entrant is a minor in his/her jurisdiction of residence) gives permission (and warrants and represents that he/she has obtained all rights, including the rights of the videographer and/or photographer, necessary to give such permission) to Sonic and the Sponsors to post entrant's Entry Materials and name on the World Wide Web and to otherwise use entrant's Entry Materials and name in accordance with the requirements of this Contest and the advertising, promotion, and publicity of the Contest, and otherwise, as stated in these Official Rules (as solely determined by Sonic and the Sponsors).

Entrant (and entrant's parent/legal guardian if entrant is a minor in his/her jurisdiction of residence) further warrants and represents that:

Any entrant may be required to obtain written permission and/or provide releases and/or licenses from the videographer and/or photographer of the Entry Materials at any time, as solely determined by Sonic or the Sponsors, to post the Entry Materials and/or to otherwise use the Entry Materials in accordance with the requirements of this Contest, and the advertising, promotion, and publicity of this Contest and Official Rules.

The form and content of any such permission, release and/or license will be as solely determined by Sonic or the Sponsors. Failure by Sonic or the Sponsors to request any such permission, release, and/or license is not a waiver of Sonic's or the Sponsors' right to require same at any later time for any reason, and entrant (and entrant's parent/legal guardian if entrant is a minor) acknowledges that failure to comply with any such request may cause disqualification.

By entering, entrant (and entrant's parent/legal guardian if entrant is a minor) agrees to defend, indemnify, and hold harmless Released Parties from any and all action or liability resulting: from posting of the Entry Materials on the submission website; from publishing, broadcasting, publicly displaying, or promoting the Entry Materials and/or from using the Entry Materials as otherwise permitted by this Contest or Official Rules; from traveling to and from the Contest; from using the lodging accommodations; from entering, participating in, and attending the Contest and Sonic's national convention; and from accepting and using any prizes or other benefits related to the Contest.

Sponsors and Sonic reserve the right in their sole discretion to decide if an entry is appropriate for posting or publication and may disqualify any entry at any time if it is determined, in Sonic's and the Sponsors' sole discretion, that the Entry Materials: are inappropriate, immoral, obscene, profane, or inconsistent with the image of Sonic or the Sponsors; or endanger the safety or well-being of any person; or do not comply with or violate this Contest or Official Rules, including entrant's non-compliance with or violation of the same.

10. GENERAL:

All taxes on prizes and expenses relating to acceptance and use of travel, accommodations, meals, benefits, and prizes and not specified are the sole responsibility of Finalists and winners. By participating, entrant (and entrant's parent/legal guardian if entrant is a minor in his/her jurisdiction of residence) agrees:

Entry Materials will be deemed a Work Made For Hire under the copyright laws of the United States, but if Entry Materials cannot be so deemed, then each entrant (and entrant's parent/legal guardian if entrant is a minor) agrees to irrevocably convey, assign, and transfer to Sonic and the Sponsors all of his/her right, title, and interest in and to entrant's Entry Materials, including, but not limited to, copyrights (including, but not limited to, renewal and derivative rights) in the United States and worldwide, for the consideration seeking to enter the Dr Pepper/RC Sports "Sonic Skate-Off" Contest, the receipt and sufficiency of which are hereby acknowledged. Entrant (and entrant's parent/legal guardian, if entrant is a minor) hereby waives in favor of Sonic and the Sponsors, all rights of "Droit Moral" or "Moral Rights of Authors" or any similar rights or principles of law that the entrant may now or later have in the Entry Materials.

The Sponsors and Sonic reserve the right to alter, change, or modify any of the winning Entry Materials, in their or its sole discretion. Upon the request of Sonic or the Sponsors, each entrant (and entrant's parent/legal guardian, if entrant is a minor) shall execute and deliver such additional instrument of conveyance, transfer, and assignment, in a form deemed necessary and proper by Sonic or the Sponsors. The failure of Sonic or the Sponsors to request such conveyance, transfer, and assignment shall not be deemed a waiver of the right to request the same at any time, and entrant agrees to comply with any such request.

11. RELEASE / LIMITATION OF LIABILITY:

BY ENTERING AND PARTICIPATING IN THE CONTEST AND USING ANY PRIZE, ENTRANT (AND ENTRANT'S PARENT/LEGAL GUARDIAN IF ENTRANT IS A MINOR IN HIS/HER JURISDICTION OF RESIDENCE) AGREES TO THE FULLEST EXTENT PERMITTED BY LAW, TO RELEASE, DISCHARGE, DEFEND, INDEMNIFY, AND HOLD HARMLESS SONIC, THE SPONSORS, AND THE JUDGES, AND ALL OF THEIR RESPECTIVE PARENT COMPANIES (INCLUDING SONIC CORP.), AFFILIATES (INCLUDING SONIC INDUSTRIES SERVICES INC., SONIC INDUSTRIES LLC, SONIC RESTAURANTS, INC., AND AMERICA'S DRIVE-IN BRAND PROPERTIES LLC), SUBSIDIARIES, AND ADVERTISING, MARKETING, AND PROMOTION AGENCIES, AND ALL OF THEIR RESPECTIVE EMPLOYEES, OFFICERS, DIRECTORS, SHAREHOLDERS, MEMBERS, PARTNERS, REPRESENTATIVES, AND AGENTS (INDIVIDUALLY AND COLLECTIVELY "RELEASED PARTIES") FROM ANY AND ALL LIABILITY OR RESPONSIBILITY WHATSOEVER FOR ANY AND ALL PERSONAL INJURIES AND PROPERTY DAMAGE (WHETHER DUE TO NEGLIGENCE OR OTHERWISE) OF ANY KIND (INCLUDING, WITHOUT LIMITATION, CLAIMS, COSTS, EXPENSES, DEATH, BREACH OR FAILURE OF ANY REPRESENTATION, WARRANTY, OR OBLIGATION CONTAINED IN THE OFFICIAL RULES, OR VIOLATION OF INTELLECTUAL PROPERTY RIGHTS, SUCH AS, BUT NOT LIMITED TO COPYRIGHT, TRADEMARK, OR PATENT RIGHTS, RIGHTS OF PUBLICITY OR PRIVACY, DEFAMATION, SLANDER OR LIBEL, OR PORTRAYAL IN A FALSE LIGHT) ARISING OUT OF OR IN CONNECTION WITH ENTERING AND PARTICIPATING IN THE CONTEST OR FROM ACCEPTANCE, POSSESSION, USE, OR MISUSE OF ANY PRIZE, ACCOMMODATION OR TRAVEL-RELATED ACTIVITY. BY ENTERING AND PARTICIPATING IN THE CONTEST AND USING ANY PRIZE, ENTRANT (AND ENTRANT'S PARENT/LEGAL GUARDIAN IF ENTRANT IS A MINOR IN HIS/HER JURISDICTION OF RESIDENCE) AGREES TO WAIVE, TO THE FULLEST EXTENT ALLOWED BY LAW, ALL RIGHTS TO CLAIM AND BE AWARDED DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, EXEMPLARY, OR OTHER DAMAGES, AND FOR ANY DAMAGES OTHER THAN ACTUAL OUT-OF-POCKET COSTS AND EXPENSES.

12. ADDITIONAL CONDITIONS:

Released Parties are not responsible and shall not be liable for:

Sonic and the Sponsors reserve the right, in their sole discretion, to cancel or suspend the Contest or any portion thereof if computer hardware or software malfunctions (such as, but not limited to, virus, bugs, worms, tampering, unauthorized intervention, fraud, or technical failures) or any other causes corrupt the administration, security, or proper conduct of the Contest, and thereafter select the winners from Entry Materials received prior to the action taken or in such other manner as deemed fair and appropriate by Sonic and the Sponsors.

Sonic and the Sponsors also reserve the right, in their sole discretion, to disqualify any individual found to be tampering with the entry process or the operation of the Contest or website, acting in violation of the Official Rules or the terms of the website, acting in a non-sportsmanlike or disruptive manner, or acting with the intent to annoy, abuse, threaten, or harass any person.

No Entry Materials will be acknowledged or returned, and will become property of Sonic and the Sponsors. No prize transfer or cash redemption or substitution will be allowed or made, but Sonic and the Sponsors reserve the right to substitute a prize with a prize of equal or greater value if a prize becomes unavailable.

13. PRIVACY:

Information submitted with an entry is subject to any Privacy Policy stated on www.sonicdrivein.com.

14. ARBITRATION/CHOICE OF LAW:

Except where prohibited, entrant (and entrant's parent/legal guardian if entrant is a minor) agrees that any and all disputes, claims, and causes of action arising out of or connected with this Contest or any prize awarded or the determination of the finalists or winners will be resolved individually, without resort to any form of class action, and exclusively by binding arbitration to be held in Oklahoma City, Oklahoma, before a single arbitrator pursuant to the Rules of the American Arbitration Association in effect at the time of the demand and submission. Any and all claims, judgments, and awards will be limited to actual out-of-pocket costs and expenses incurred, including costs associated with entering this Contest, but in no event attorneys' fees. All issues and questions concerning the construction, validity, interpretation, and enforceability of the Official Rules, or the rights and obligations of entrant and the Released Parties in connection with the Contest, will be governed by and construed in accordance with the laws of the State of Oklahoma, without regard for conflicts of law doctrine.
